• This office requires a signed wholesale application along with a copy of your business license, federal tax ID # or seller’s certificate.
• UPS is the preferred shipper because they provide door to door service with step by step tracking as well as an efficient compensation process for any loss.
• BAX Global or Nippon Express for international orders.
• Prepayment of all orders is expected before shipment.
• We accept Visa & MasterCard credit cards only.
• Replacement procedures for lost United States Postal Service shipments will begin 30 days after shipment date & compensation for undelivered orders typically takes another 6 weeks. Insurance is required when requesting this service. There is no mechanism for tracking the parcel.
• WHOLESALE PRICES ARE NO LONGER AVAILABLE ON THE WEBSITE, WHOLESALE PRICES WILL BE APPLIED TO YOUR ORDER IN THIS OFFICE. IT IS NO LONGER NECESSARY TO CREATE A PERSONAL ACCOUNT; CUSTOMER PROFILE IS STORED AT OUR OFFICE.
• When placing an order by any method i.e. phone, email, fax or through the website, ALWAYS expect a confirmation. Please make certain that any special requests or instructions are prominent . Include your company name on all orders.
• Prior to Proservice and/or Prodiaper’s acceptance of an order, verification of information may be required. The receipt by you of an order confirmation is notification of order completion.
• Proservice and/or Prodiaper reserves the right at any time after receipt of your order to accept or decline your order, or any portion thereof, even after your receipt of an order confirmation from Proservice and/or Prodiaper, for any reason. Proservice and/or Prodiaper reserves the right to limit the order quantity on any item and to refuse service to any customer without prior notification.
• Upon receipt of all necessary paperwork in this office you will receive a copy of the price list.
• All prices displayed on the Prodiaper.net Site are quoted in U.S. dollars. Proservice and/or Prodiaper will add shipping and handling fees and applicable sales/use tax.
• Proservice and/or Prodiaper reserves the right without prior notice to discontinue or change specifications and prices on products and services offered on the Prodiaper.net without incurring any obligation to you.
• In the event that a product is listed at an incorrect price on our website due to typographical error, Proservice and/or Prodiaper shall have the right to refuse or cancel orders placed for the product listed at the incorrect price, regardless of whether the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Proservice and/or Prodiaper shall promptly issue a credit to your credit card account in the amount of the incorrect price.
To qualify for quantity discounts you may mix & match (covers). There is
a minimum order of 12 wraps &/or 3 dozen diapers on any order.
Most products may be returned within 30 days of receipt. Returned products must
be in original condition, including invoice and note explaining reason for return.
Customers are responsible for securely shipping products returned to Proservice
and/or Prodiaper. Actual shipping costs (both ways) and a 15% restocking fee
may apply. Please notify us of damaged merchandise within 72 hours. We will
refund shipping charges if the return is a result of our error.
Non-Returnable Products:
Laundered items are not returnable for reasons of health and hygiene.
Unauthorized returns and returns showing wear will be refused.
When considering refunds due to returned product to you, please remember that
Proservice/Prodiaper will determine the product refundable status after testing
if defects are not visible. We suggest more frequent changing may alleviate
some unrealistic expectations of the products.
We will be happy to answer all your questions about our products prior to your
purchase.
We are TWO different companies, so when ordering covers AND diapers you will
receive TWO different invoices.

Each party agrees: (i) to hold the other party's Confidential Information in
strict confidence, (ii) not to disclose such Confidential Information to any
third parties, and (iii) not to use any Confidential Information for any purpose
except for the business purpose, partnership, or alliance. The standard of care
to be exercised by the receiving party to meet these obligations to hold in
confidence shall be the same standard exercised by the receiving party with
respect to its own proprietary information of a similar nature, and at least
reasonable due care.
ProService/ProDiaper reserves the right to refuse service to anyone
Terms of Sale :
Prepaid or COD ----- Returned merchandise must be in new condition and may be
subject to restocking charge. Upon default of payment, applicant agrees to pay
all collection costs and reasonable attorney fees that may be incurred. The
applicant agrees to give written notice to Pro Service/Pro Diaper prior to the
sale or transfer of all or substantially all of the stock or assets of our business;
if we fail to do so, then we shall remain fully liable for any unpaid merchandise
received by the buyer or transferee of the business.
Personal Guarantee:
I (applicant), _____________________________________ hereby personally guarantee
to ProService/ProDiaper the prompt payment, when due, of every claim, credit
charge, account, past-due service charge or money due which may hereafter arise
in favor of ProService/ProDiaper against the applicant named. This is a continuing
guaranty and shall remain in force until revoked by (us) by notice in writing
to ProService/ProDiaper, but such revocation shall be effective only as to claims
of ProService/ProDiaper which arises out of transaction entered into after it’s
receipt of such notice. This obligation shall cover the renewal of any claim,
credit, charge, account or money due guaranteed by this instrument or extension
of time payment thereof, and shall not be affected by any surrender or release
by ProService/ProDiaper of any other security held by it for any claim hereby
guaranteed. The undersigned further agree(s) to pay any and all reasonable attorney
fees, and collection costs, whether or not action is instituted for collection
thereof, and if action is instituted for collection, such reasonable attorney
fees as the court may award, including any attorney fees on appeal.
The above information is warranted to be true and I/we agree to the above terms
and conditions.
